Affiliate Agreement

Who this agreement is between

Cherished Book is operated by ARCTURUS LABS LTD, a company registered in England and Wales under company number 17028066. In this agreement, "we" and "us" mean ARCTURUS LABS LTD. "You" means the person or business joining our affiliate programme.

By joining, you accept this agreement.

This is a separate agreement from our Terms of Service. Our Terms of Service cover your use of Cherished Book as a customer, creating memorials and looking after them. This agreement covers the affiliate programme and nothing else. You need to accept both, and where they overlap, this agreement governs the affiliate programme while the Terms of Service govern everything else.

What the programme is

You tell people about Cherished Book using a link we give you. If someone creates a memorial through your link and later upgrades it to Premium, we pay you 25% of what they paid. At $30, that is $7.50. If you look after families yourself, you can create their memorial here instead, and you earn on that too.

There is no minimum and nothing to run, and you never collect a payment on our behalf.

Memorials you did not create are nothing to do with you. You cannot see them, you cannot see who made them, and you cannot reach those families through us. We show you counts, and nothing else. A memorial you create yourself is different: it is in your account, and you can see and edit it like any other memorial you look after.

Joining

Anyone can join, from anywhere in the world. There is no application to pass and no interview.

This is an agreement between businesses. When you join, you confirm that you are doing so as a business, and that includes being self-employed. You are not joining as a private consumer, and the consumer protections that apply when someone buys something for personal use do not apply to this agreement. If you are signing up for an organisation, you confirm you are allowed to agree to this on its behalf.

You need a Cherished Book account, which is free, and a PayPal account, which is how we pay you. If you cannot receive money through PayPal, we have no other way to pay you at the moment.

You may hold one affiliate account, and it is keyed to your email address. One person or business, one account. Registering a second account under another address to work around anything in this agreement, including the $50 minimum or a suspension, is a breach of it, and we may close any account used that way and withhold what is unpaid on it.

Your link

When you join, you choose a short code that identifies you. That code appears in your link and in any QR code you make from it.

Your code cannot be changed once it is created. Affiliate codes get printed on order of service cards, shop leaflets and window stickers, and those outlive any rename. Keeping the code fixed means a QR code you print this year still pays you in five years.

Your affiliate area gives you two links, each with a QR code you can print. One opens the page where someone creates a memorial for a person. The other opens the page for creating a memorial for a pet.

Your link goes straight to that page. It does not stop on a page explaining who we are, so please explain Cherished Book on your own website, leaflet or card before someone follows it. A QR code with nothing written around it rarely gets used.

If you already send people to us with a pre-filled link, you can add your code to that link and it will count in the same way. Our developer pages explain how.

Your code only counts on those pages. It does not work on a memorial page, and you must not put it there.

What you earn

25% of what is paid each time a memorial you sent us is upgraded to Premium by the person who created it. At $30, that is $7.50. If they use one of our voucher codes, you earn 25% of the lower amount they paid. If a voucher makes the upgrade free, there is no commission.

This includes memorials you create yourself. If you look after families directly, create their memorial while signed in to your own account and pay the $30, and you keep the $7.50. You do not need to use your own link first: we recognise it automatically. In practice that makes Premium $22.50 to you, with nothing to commit to and no minimum each month.

If someone you sent us arrived through another affiliate's link first, that referral stays with them.

The amount is fixed at the moment of purchase. If our price changes later, commission you have already earned stays exactly as it was.

When someone creates a memorial through your link, we remember that you sent them. They can upgrade weeks or months afterwards and you are still paid.

What does not earn commission

Memorials created by a business partner. Funeral directors and celebrants on our Business plan buy memorials from us at a wholesale price, so no one pays the $30 and no commission arises.

Gifts. Anyone can pay for Premium on someone else's memorial as a gift. A gift never earns commission, whoever sent the person who paid.

Upgrades paid for by someone else. Commission is paid only when the person who created the memorial pays for its upgrade. If a relative, a co-owner or anyone else pays instead, no commission is paid.

Anything refunded. See "If a customer is refunded" below.

Anything during a suspension. See "How long this lasts, and how it ends" below.

Taking part in a memorial you referred is fine. Leaving a tribute, or being added as a moderator or contributor by the family, does not affect your commission.

How your link is tracked, and why we track so little

This part of the agreement asks something of you, so it is worth explaining properly.

Most people arrive at Cherished Book in the worst week of their life. They have lost someone, and they have come to write about them. Following those people around the internet afterwards, so that we can measure them, is not something we are willing to do. It is one of the reasons the service exists in the shape it does.

So on the part of Cherished Book where memorials are created, visited and contributed to, we set no tracking cookies at all. We use no third party analytics there, no advertising pixels, and no profiling. There are no adverts anywhere on the service. We do not sell or share anyone's information with advertisers, and there is nothing on a memorial page reporting back to anyone but us. Our public marketing site asks before it sets anything that is not strictly needed, and it respects the answer.

Your affiliate link works inside those limits. It is remembered for the visit, and no longer.

What that means in practice: the person needs to start creating the memorial in the same visit as the click. If someone follows your link, thinks about it for three days and comes back later, we will not know they came from you, and you will not be paid for it. We could pay you more often by tracking people for ninety days. We have decided not to.

We are telling you this plainly because it is the reason we pay 25%. That rate is well above what affiliate programmes usually pay, and it is set high on purpose to make up for a shorter window than you may be used to. If you would rather have a longer window than a higher rate, this is not the right programme for you, and we would rather you knew that now.

Your affiliate area shows how many people arrived through your link, how many started a memorial, how many finished one, and how many upgraded. You can see where people drop off rather than take our word for it.

What you can see

We show you counts, by month. We will not tell you which memorial, or whose, and that is not a setting we can turn on for you.

Someone has died, and their family's use of our service is not ours to share. That holds however reasonable the reason for asking.

When we pay you

Commission becomes payable 30 days after the purchase. This gives refunds time to come through before money leaves us.

On the 1st of each month a statement covering the month before is added to your affiliate area, showing what you earned, anything reversed, what we are paying, and what is carried over. We email it to you whenever something has changed that month. Every statement stays available in your affiliate area.

We pay on the 10th of each month, in US dollars, to your PayPal address, once you have at least $50 available. Below $50 your balance carries over to the next month and keeps building. Nothing expires.

We chose $50 because sending small international payments costs more than the payment itself. It is seven upgrades.

Tax

Your commission is the whole of what we pay. We will not add anything to it for VAT, sales tax, or any other tax, in any country, at any time.

How you account for that payment is entirely a matter for you. That includes any VAT treatment and any tax you owe on what you earn. We do not give tax advice, and we accept no responsibility or liability for your tax position. If you are unsure how any of this applies to you, please take your own professional advice before you join.

You are not our employee, and we deduct nothing before paying you.

If a customer is refunded

If we refund a customer, or their bank reverses the payment, the commission on that purchase is cancelled. This applies whenever it happens, including after we have paid you.

If that leaves your balance below zero, we take it off what you earn next. We will not ask you to send money back, and we will not chase you for it. If you never earn again, we write it off.

If you stop

You can close your affiliate account whenever you like.

If you have earned $50 or more in total, we pay whatever is left, however small. You do not have to reach $50 again to get it.

If you have earned less than $50 in total, we do not make a payment on closure. The $50 minimum applies.

Any commission still inside its 30 day period is paid in the following month's run once that period ends, so refunds can settle first.

If you have earned $50 or more and then go quiet for two years with a balance under $50, we will email you and pay it out anyway rather than hold it indefinitely.

How you may promote us

These rules exist because our customers are grieving. Please read them properly.

• Do not target people who have just been bereaved. No advertising or outreach aimed at death

notices, obituary listings or funeral notices, and no contacting a named family who has lost someone. This is the one that matters most to us.

• Do not bid on our name. No paid search on "Cherished Book", spellings close to it, or our web

address, and no lookalike domains.

• Do not present yourself as us. You may say you are an affiliate. You may not imply you are

Cherished Book, or that we endorse you.

• No spam. No unsolicited emails, texts or messages, and no posting your link on obituary sites,

funeral home pages or memorial groups.

• No scraped death notices. Do not build pages from harvested obituary data.
• Say that it is an advert. If you are paid to recommend something, UK advertising rules require

you to make that clear. Label affiliate content honestly.

• You may give your commission back to the person you referred if you want to. You must not

present it as a discount from us, a voucher, or a code. Our price is $30, unless a voucher is used.

• We can pause a link at any time, and we may do so without notice if we think a family is being

harmed.

How long this lasts, and how it ends

This agreement runs for as long as you take part in the affiliate programme, until one of us ends it.

Either of us can end it at any time, by telling the other.

If we suspend your link, you earn nothing while it is suspended. That includes upgrades by people you sent us before the suspension. Those upgrades are not held for you and are not paid later. If we lift the suspension, you earn again from that point, including when people you sent us earlier upgrade after it is lifted. Commission that had already become payable before the suspension is still paid, unless the next paragraph applies.

We may hold payments if we suspect illegal activity, such as fraud, payments made with stolen cards, money laundering, or a breach of sanctions. While a payment is held we will not send it, however long the investigation takes, and no interest is added. If our concern is not borne out, we release it. If it is, the held amount is forfeited and we may end this agreement. Where the law or an investigation prevents it, we may not be able to tell you why a payment is held.

If we end this agreement because you have broken the promotion rules, unpaid commission is forfeited, including commission still inside its 30 day period. We will tell you why.

Commission we have already paid you is yours. We do not reach back for it.

Changes to this agreement

We may change these terms. If a change affects what you earn or how you may promote us, we will email you at least 30 days before it takes effect. If you do not agree, close your account before the change starts, and we will settle what you are owed under the rules above.

Your details

To run the programme we hold your name, your business name if you gave one, your address, the country you are based in, your Cherished Book account email, your PayPal address, and a record of what you have earned and been paid. We ask for the address and country because paying somebody carries obligations we have to be able to meet, and an email address alone does not let us meet them. Payment records are kept for as long as tax law requires, which is around six years, even if you close your account.

Neither of us is tied to the other

This is not an exclusive arrangement. You are free to recommend anything you like, including services that compete with ours, and to work with whoever you choose. We are free to sell Cherished Book ourselves, to anyone, including people you have told about us, and to run other arrangements with other people.

What you promise us

By joining, you confirm that:

• you are entitled to take part, and if you are signing up on behalf of a business, you are allowed to

agree to this on its behalf

• the details you give us, including your payout address, are yours and are correct
• you will follow the promotion rules above
• anything you say about Cherished Book will be accurate

If someone else does referral work for you, whether staff, a contractor or an agency, you are responsible for what they do as though you had done it yourself.

Following the law

You must obey the law wherever you operate. That includes the rules on unsolicited email and messaging, advertising and disclosure, data protection, and any sanctions or trade restrictions that apply to you or to us.

You must not market Cherished Book in a way that is misleading, dishonest or unfair, or in any way that could harm our customers or the people who visit a memorial.

Confidential information

If either of us shares something that is not public and is marked or clearly meant as confidential, the other will keep it to themselves and use it only for the affiliate programme. That covers what we show you about your own account.

In practice there is very little of this, and it is one sided by design. We will not give you personal information about our customers, so you will never be holding any.

This does not apply to anything that is already public, that you already knew, or that you have to disclose by law.

Our name and yours

You may say that you are a Cherished Book affiliate, and you may use the link, the codes and the images we provide in your affiliate area, in the form we provide them.

That is the whole of what we are giving you. You get no other rights to our name, our logo, our designs or anything else of ours, and nothing here allows you to register anything similar, alter our logo, or suggest we endorse you.

If someone brings a claim against us because of you

If a third party brings a claim against us because of the way you have taken part in the programme, because you have broken this agreement, or because of how you have used the affiliate area, you will cover our costs and any damages, and you will handle the defence.

For that to apply, we will tell you in writing within 30 days of learning about the claim, let you run the defence and any settlement, and give you the help you reasonably ask for, at your expense.

You cannot settle a claim in a way that puts an obligation on us, admits anything on our behalf, or restricts what we can do, unless we have agreed to it in writing first.

What we do not promise

We give you the affiliate programme and the affiliate area as they are.

We do not promise they will always be available, always be accurate, or be fit for any particular purpose of yours. Anything automatic can go wrong or go offline. We may change how the affiliate area works, or stop offering parts of it.

To the extent the law allows, we exclude any promise about the programme or the affiliate area that is not written down in this agreement.

Limits on what we owe you

Neither of us is liable to the other for lost profit, lost business, lost opportunity, or any other indirect or knock on loss.

If we are found to owe you something despite the rest of this agreement, what we owe in total is limited to the commission you actually earned in the 12 months before whatever caused the claim.

Nothing in this agreement limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited by law. If you are taking part as an individual rather than as a business, nothing here affects your statutory rights.

Things outside anyone's control

Neither of us is responsible for failing to do something, or being late, because of an event outside our reasonable control. That includes war, sabotage, natural disaster, power, internet or telephone failures we did not cause, and government restrictions. Whoever is affected will do what they reasonably can to limit the effect.

The rest of it

We are not partners. This agreement does not make you our agent, employee or representative, and you cannot enter into anything on our behalf.

Transferring it. You cannot transfer this agreement to anyone else, including through a merger, a sale of your business, or a change of who controls it, without our written agreement. We may transfer it to a company in our group, or to a buyer of our business.

Nobody else can rely on it. This agreement is between you and us. No one else gains any right under it, and the Contracts (Rights of Third Parties) Act 1999 does not apply.

If part of it fails. If any part of this agreement turns out to be unenforceable, that part is treated as replaced by the closest enforceable version of what it was meant to do, and the rest carries on.

The law that applies. This agreement is governed by the law of England and Wales, and the courts of England and Wales have jurisdiction.
